1. Definitions and Interpretations
1.1 “Program” refers to any educational offering provided by Claristrat, including but not limited to training modules, live or recorded content, assessments, and associated services.
1.2 “Participant” means any individual enrolled in a Claristrat program, including prospective, active, or alumni learners.
1.3 “Preview Module” refers to the initial asynchronous learning segment provided without payment to allow candidates to assess program alignment before formal enrollment.
1.4 “Cohort” refers to a defined group of Participants admitted into the same Claristrat program cycle for synchronized learning and group engagement.
1.5 “Live Session” means any scheduled, real-time instructional, coaching, or facilitation interaction conducted via video conferencing or in person.
1.6 “Asynchronous Content” refers to pre-recorded learning materials, exercises, assignments, and reading content accessible outside live sessions.
1.7 “Claristrat IP” refers to all proprietary frameworks, tools, assessments, recordings, course materials, facilitation guides, and session outputs developed or furnished by Claristrat. This includes derivative works, anonymized data sets, and any future updates or iterations.
1.8 Interpretations. Headings are for reference only. Terms expressed in the singular include the plural and vice versa. References to “including” or “includes” mean “including without limitation.”
2. Purpose and Scope
2.1 Applicability. These Terms govern all coaching education programs and services offered by Claristrat LLC (“Claristrat,” “we,” “us”), a U.S.-registered business entity. By enrolling, you (“Participant,” “you,” “your”) accept these Terms in full. These Terms override any other agreement unless expressly stated in writing.

2.3 Individual Enrollment. These Terms apply exclusively to Participants who enroll directly with Claristrat in their individual capacity.
2.4 Corporate Engagements. Participants whose enrollment is sponsored by an employer, business entity, or third party are subject to the terms of the corresponding service agreement between Claristrat and the sponsoring organization. In the event of a conflict between these Terms and the corporate agreement, the corporate agreement shall govern.
3. Enrollment and Payment
3.1 Payment Terms. All program fees must be paid in full before the program start date. Claristrat does not offer installment plans unless expressly agreed in writing.
3.2 Currency. Tuition is charged in USD. International Participants are responsible for all currency exchange costs, transaction fees, or conversion-related charges, including those incurred during refunds.
3.3 Refund Eligibility. Participants may request a prorated refund within 15 days of enrollment, calculated based on the percentage of synchronous and asynchronous content consumed and services delivered (e.g., assessments, sessions).
4. Registration and Intake Process
4.1 Preview Module Access. Registrants are granted access to the first asynchronous module free of charge.
4.2 Tuition Payment. Full tuition must be paid to proceed beyond the preview module.
4.3 Mandatory Exploratory Session. Each Participant must complete a 30-minute 1:1 exploratory session with a Claristrat faculty member prior to formal admission.
4.4 Hogan Assessment. Participants complete a Hogan Leadership Assessment and debrief as part of the intake process.
4.5 Final Admission. Admission to the full cohort is granted based on demonstrated alignment and readiness.
4.6 Refund Option. If Claristrat or the Participant determines the program is not a fit, a partial refund is issued, deducting the cost of services already rendered.
5. Program Access and Participation
5.1 Live Attendance. Attendance in live sessions is expected. Sessions are not rescheduled except in cases of force majeure.
5.2 1:1 Coaching. Coaching is integrated into the program. Participants may request a change in assigned coach at any time. Claristrat will provide a suitable substitute in a timely manner.
5.3 Missed Individual Sessions. Individual sessions may be rescheduled with a minimum of 24 hours' notice, subject to mutual availability.
6. Withdrawal and Refunds
6.1 Withdrawal Window. Participants may withdraw within 15 days of enrollment and request a partial refund based on:
6.1.1 The number of live sessions attended
6.1.2 Percentage of asynchronous content accessed
6.1.3 Costs already incurred by Claristrat (e.g., assessments, coaching)
6.2 No Full Refunds. Claristrat does not issue full refunds under any condition.
7. Termination and Misconduct
7.1 Grounds for Termination. Claristrat may terminate enrollment without refund for:
7.1.1 Non-payment
7.1.2 Repeated absences or failure to participate
7.1.3. Abusive or unprofessional behavior
7.1.4 Breach of confidentiality or IP terms
7.1.5 Public or private defamation of Claristrat, its staff, or other Participants
7.1.6 Failure to submit required documentation after reasonable follow-up
7.1.7 Any action that harms the integrity of the cohort or Claristrat’s reputation
7.2 Cure Period. Claristrat may, at its discretion, provide a 10-day cure window before termination.
8. AI Use and Coaching Policy
8.1 AI Integration. Claristrat may use AI tools (e.g., ChatGPT, Tactiq) to support curriculum development, insights capture, and internal quality review.
8.2 Anonymity. Personally identifiable information will not be shared with third-party AI tools without written consent.
8.3 Opt-Out. Participants may opt out of AI-enabled services in 1:1 coaching through written request.
8.4 Scope of Coaching. Claristrat coaches do not provide therapy, legal, medical, or financial advice.
9. Data Privacy and Use
9.1 GDPR Compliance. Claristrat processes participant data under GDPR on a performance-of-contract basis.
9.2 Data Access. Participants may request access, correction, restriction, or deletion of their data.
9.3 Vendor Use. Data is shared only with vendors essential to delivery (e.g., LMS, scheduling tools, assessments).
9.4 Aggregated Use. Claristrat may retain and analyze anonymized data for research, pedagogy, and IP development.
10. Confidentiality and Recordings
10.1 Default Recording. Group and 1:1 sessions may be recorded by default for internal use unless the Participant opts out (1:1 only).
10.2 Use of Recordings. Recordings may be used for training, cohort review, and curriculum improvement. Public use requires separate consent.
10.3 Breaches. Unauthorized distribution, disclosure, or misuse of session content or cohort communications is grounds for removal.
11. Intellectual Property
11.1 Ownership. All Claristrat IP remains the sole property of Claristrat LLC.
11.2 License for Alumni. Alumni are granted a non-exclusive license to use designated practice packages in their coaching practice, but not to teach, resell, or adapt the methodology without a separate agreement.
11.3 Restrictions. No Participant may reproduce, share, translate, or adapt Claristrat materials without written permission.
11.4 IP Misuse. If Claristrat has a legitimate concern about potential misuse of its IP in publicly offered programs, it may request materials for internal review. Participants agree to cooperate in good faith.
12. Inclusion and DEI
12.1 Non-Discrimination. Claristrat enforces a zero-tolerance policy for discrimination based on race, gender, religion, disability, orientation, or background.
12.2 Accommodations. Participants with documented disabilities may request reasonable accommodations.
12.3 Equity Access. Leaders from social sector organizations may inquire about discounted tuition prior to enrollment.
13. Limitations of Liability
13.1 No Outcome Guarantees. Claristrat makes no representation regarding future certification, employment, or revenue outcomes.
13.2 Responsibility. All decisions and actions taken by Participants remain their own.
13.3 Limit of Liability. Claristrat’s total liability is limited to the amount of tuition paid. No indirect, incidental, or consequential damages are covered.
14. Force Majeure
Claristrat is not liable for delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including but not limited to illness, war, natural disaster, labor strikes, government restrictions, or failures in internet connectivity, digital infrastructure, or communications networks. This includes, without limitation, disruptions to the learning platform, videoconferencing tools, or other third-party services essential to program delivery.
15. Dispute Resolution
15.1 Internal Resolution. Disputes must first be submitted to Claristrat for internal resolution.
15.2 Mediation. If unresolved, mediation will occur under New York State law.
15.3 Jurisdiction. Venue is New York County, State of New York, USA.
15.4 Waiver of Class Actions and Jury Trial. Each party irrevocably waives any right to a jury trial and agrees that any claims shall be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
